Stichting Obligatiehouders Wonen Fondsen

To structurally protect your interests as a bondholder, we established the Stichting Obligatiehouders Wonen Fondsen (the bondholders' foundation). This foundation operates fully independently of Zeker Wonen Fondsen B.V. and has one goal: to oversee compliance with your rights and security.

Depending on the fund, the foundation establishes a mortgage right on the underlying property. That way there is always an independent party between you and the fund manager.

How the protection works

Three layers that together establish your position as a bondholder: an independent party, a right on the property and agreements on paper.

1

An independent foundation

The Stichting Obligatiehouders Wonen Fondsen is a legally independent entity, established and registered under Dutch law. The board members have no interests in the funds and act solely in the interests of the bondholders.

2

A mortgage right on the property

Depending on the fund, the foundation establishes a mortgage right on the underlying property. A first mortgage right means that in the event of a sale or foreclosure, investors are paid first from the proceeds through the foundation. Other creditors only come after that.

3

Agreements that are fixed

On behalf of all bondholders, the foundation safeguards the security and compliance with the fund terms. All agreements are set out in the bond terms and the trust deed. If the fund fails to meet its obligations, the foundation can take legal action on your behalf.

What does the board of the foundation do?

The board of the Stichting Obligatiehouders Wonen Fondsen consists of Mr M.P.J. Mak and Mr M.L. Arons. They operate fully independently and have no interests in the activities of the funds. Their responsibilities are concrete and comprehensive.

The board closely supervises the activities of Zeker Wonen Fondsen. This includes periodically checking rental income, monitoring cash flows and assessing unforeseen expenses.

The board oversees the establishment of mortgage rights on the properties within the funds and can demand additional security where necessary.

Because the board members have no interests in the funds, they can act fully objectively in your interest.

If the fund fails to meet its obligations, the foundation is authorised to take legal action on behalf of all bondholders and, if necessary, to enforce the mortgage right.

Zeker Wonen Fondsen manages the market, operational and financial risks. The board of the foundation monitors this and can ask for additional measures.

If there are important developments affecting the interests of bondholders, the foundation ensures timely and accurate information.
