Is Zeker Wonen Fondsen supervised by the AFM or DNB?

Supervision and exemptions. Zeker Wonen Fondsen is not under the direct supervision of the Netherlands Authority for the Financial Markets (AFM) and/or De Nederlandsche Bank (DNB), but makes use of an exemption from the prospectus requirement. For every investment and/or fund, an information document is available that has also been shared with the AFM.

01

Why is there no AFM supervision of the investment?

The mention of the AFM exemption on our website or in our documentation says nothing about the quality of the offering, but only informs you that it is exempt from the obligation to publish a Wft prospectus. There is, however, supervision by the AFM of the offerings of Zeker Wonen Fondsen, based on the Consumer Protection Enforcement Act (Wet handhaving consumentenbescherming, Whc).

02

Meaning of the statement "No prospectus requirement for this activity"

This statement means that the offerings of Zeker Wonen Fondsen are exempt from the prospectus requirement as referred to in the Financial Supervision Act (Wet op het financieel toezicht, Wft), because an exemption applies.

Exemptions for Zeker Wonen Fondsen

  • The exemption applies when Zeker Wonen Fondsen offers bonds with a total value of less than EUR 5 million.
  • The exemption also applies when Zeker Wonen Fondsen offers bonds with a total value of at least EUR 100,000 per investor.

When Zeker Wonen Fondsen makes use of these exemptions, the AFM "exemption notice" must be placed on the website and in the documentation relating to the bond issue.
